
What Was Adopted and When Does It Take Effect?
On 18 June 2026 the Seimas adopted Law No. XV-1045 amending the Law on Companies, changing more than 60 articles — one of the broadest company-law overhauls in recent years. The amendments enter into force on 1 November 2026. (Source: Seimas)
Who Is Affected?
The reform affects all private limited companies (UAB) and public limited companies (AB): provisions on governance, shareholder decision-making and the competence of corporate bodies are being revised. With only months until entry into force, companies should assess whether their articles of association and internal documents will comply.
What to Do Before 1 November?
- Review the company’s articles of association against the new wording of the law;
- Assess the division of competences between the board and the manager;
- Schedule a shareholders’ meeting if amendments to the articles are needed.
